1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Nikita Havrylenko, doing business as NoteBee (“NoteBee,” “we,” “us,” or “our”), based in Poland.

By creating an account, downloading, installing, or using the NoteBee application or visiting the notebee.cloud website (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

NoteBee is a local-first macOS template and note management application designed for individuals and teams. The Service includes:

In Personal Workspace: all Content stored locally, never transmitted unless you invoke a feature that requires it.

In Team workspaces: Content synchronized to cloud, encrypted client-side before transmission.

We strive to provide reliable access but do not guarantee uninterrupted, error-free, or secure operation.

6.5 Auto-Renewal

Subscriptions automatically renew unless cancelled before renewal date.

6.6 Price Changes

At least 30 days’ advance notice via email. New price takes effect at next billing period.

6.7 AI Credits

6.8 Free Trial

If offered, specific terms disclosed before trial begins. Auto-converts to paid unless cancelled.

7. Refund Policy

7.1 30-Day Refund Window

Full refund within 30 days of any payment.

7.2 How to Avoid Unwanted Renewal Charges

Cancel before renewal date.

7.3 Exceptions

No refunds for: partial billing periods, free tier dissatisfaction, hardware/software issues outside our control, third-party reseller purchases.

7.4 Statutory Rights

Nothing limits your statutory rights under EU Consumer Rights Directive.

8. License Grant and Restrictions

Limited, non-exclusive, non-transferable, revocable license for personal or internal business purposes.

9. Your Content

9.1 Ownership

You retain all ownership rights in your Content. NoteBee does not claim ownership.

9.2 License to NoteBee

Limited license solely to provide the Service (sync, encryption, AI processing when requested, backups, legal compliance).

9.3 Content in Personal Workspace

Stored locally, not transmitted.

9.4 Content in Team Workspaces

Synchronized and encrypted with AES-256-GCM.

9.5 Content Responsibility

You are responsible for ensuring your Content doesn’t infringe rights or violate laws.

9.6 No Obligation to Monitor

We don’t pre-screen Content but may remove Content that violates Terms.

10. AI-Powered Features

10.1 Overview

Optional, powered by Google Vertex AI (Gemini). Requires consent.

10.2 Your Consent

One-time notice before first use. You may decline.

10.3 How AI Features Work

Selected text sent to Google Vertex AI, processed, and result returned. Only selected text is transmitted.

10.4 AI Output Ownership

You retain ownership of input and output.

10.5 AI Accuracy Disclaimer

AI-generated content is provided “as is” without any warranty. May be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing and verifying.

10.6 Non-Uniqueness

AI outputs are not guaranteed unique.

10.7 No AI Model Training

NoteBee does not use your Content for AI training. Google is contractually prohibited from using Vertex AI customer data for training.

10.8 AI Credit Limits

Subject to subscription tier limits.

10.9 AI Use Restrictions

No illegal, harmful, spam, phishing, or IP-infringing content. No circumventing limits.

10.10 Copyright Considerations

Purely AI-generated content may not qualify for copyright protection in all jurisdictions.

11. Data Security and Encryption

11.2 End-to-End Encryption

AES-256-GCM via Apple CryptoKit. Keys in macOS Keychain. Zero-knowledge for Team Data.

11.3 Encryption Key Management

You are responsible for maintaining access. Recovery options: password-based backup (PBKDF2, 600K iterations), admin-assisted recovery.

11.4 Encryption Key Loss — Critical Disclaimer

If all recovery methods fail, encrypted Team Data becomes permanently and irreversibly unrecoverable. NoteBee cannot recover your keys or decrypt your data. NoteBee is not liable for data loss from lost encryption keys.

11.5 Key Rotation

Keys rotated when members are removed. Existing data re-encrypted.

12. Teams and Team Features

12.1 Creating a Team

Pro subscribers may create Teams. Creator becomes Owner.

12.3 Administrator Responsibilities

Owners/Admins must manage access, respond to key recovery requests, transfer ownership before closing account.

Via cryptographic invitation links. Share through secure channels.

12.5 Content Ownership in Teams

Content belongs to Team, not individual. Removed members lose server access (key rotated).

12.6 Team Deletion

Only Owner. Permanent and irreversible.

13. Intellectual Property

13.1 NoteBee’s IP

Software, design, UI, documentation, logos, trademarks owned by NoteBee.

13.2 Feedback

Provided voluntarily. NoteBee may freely use feedback.

13.3 Trademarks

NoteBee trademarks require written permission to use.

15.2 Data Controller

NoteBee (Nikita Havrylenko) is the data controller under GDPR.

15.3 GDPR Compliance

Full GDPR, Polish data protection law compliance. Rights: access, rectify, erase, restrict, port, object. Contact: privacy@notebee.cloud.

15.4 US State Privacy Laws

CCPA/CPRA compliant. Does not sell personal information.

15.5 Revenue Model Transparency

Revenue exclusively from paid subscriptions. No data monetization, no ads.

17. Termination and Suspension

17.1 Termination by You

Cancel subscription or delete account in Settings.

17.2 Account Deletion

Deletes profile, local data, revokes tokens, creates compliance record. Team content remains for other members. Transfer ownership first if Team Owner.

17.3 Termination by NoteBee

For Terms violations, security risks, legal requirements, or 24+ months inactivity. 30 days’ notice unless breach.

17.4 Effect of Termination

License revoked. Local Content remains on device. Team Data remains encrypted for remaining members.

17.5 Survival

Sections 9, 10.5, 11.4, 13, 14, 18, 19, 20, 23, 24 survive termination.

18. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NOTEBEE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Statutory rights preserved under EU/Polish consumer protection law.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NOTEBEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF BUSINESS OPPORTUNITIES.

Liability cap:

Statutory rights preserved under EU/Polish law. Does not exclude liability for death/injury, fraud, or other non-excludable liability.

20. Indemnification

You indemnify NoteBee from claims arising from your use, Content, violations, and AI-generated content use. EU consumers: applies only for intent or gross negligence.

Report infringement to legal@notebee.cloud with required information. Counter-notification process available. Repeat infringers may be terminated.

22. Changes to These Terms

Material changes: 30 days’ notice via email/in-app.

Minor changes: Updated date only.

23. Governing Law and Jurisdiction

Governed by the laws of the Republic of Poland. EU consumers retain home country protections.

Disputes: courts of Warsaw, Poland (EU consumers may use home courts).
